Vancouver, British Columbia CANADA, October 09, 2012 /FSC/ - Silver Sun Resource Corp. (SSU - TSX Venture, SSUXF - OTCBB), ("Silver Sun" or "the Company") announces that it will conduct a non-brokered private placement of up to 3,333,333 units of the Company (the "Units") at a price of $0.12 per Unit for aggregate proceeds of up to approximately $400,000. Each Unit will consist of one common share in the capital of the Company and one non-transferable share purchase warrant. Each warrant shall entitle the holder to purchase one additional common share of the Company for a period of two years from the date of issue, at a price of $0.17 per share during the first year, at a price of $0.25 per share during the second year.
The Company intends to use the proceeds of the private placement for expansion of the Cherry Hill Gold mine in Siskyou County, California and for general working capital and corporate purposes. Finder's fees in amounts yet to be determined may be paid to persons who introduce the Company to investors. In accordance with applicable securities legislation, all securities issued will be subject to a hold period of four months and a day from the date of completion of the offering.
