Item 8.01. Other Events.
     On March 30, 2010, Baker Hughes Incorporated (“Baker Hughes”) and BJ Services Company (“BJ Services”) jointly issued a news release announcing that Baker Hughes and BJ Services have reached a general understanding with the Antitrust Division of the U.S. Department of Justice regarding divestitures that will be required as a condition to governmental approval of the pending merger between the two companies, which closing is expected to occur as soon as practicable in early April, subject to approval of the proposed understanding by the Antitrust Division of the U.S. Department of Justice and the Federal District Court in Washington, D.C., approval by the stockholders of both companies at their respective reconvened special meetings of stockholders on March 31, 2010, at 9:00 a.m. Central Daylight Time, and certain other merger closing conditions. The news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
